Partner Agreement Ziewie

This PartnerAgreement (“Agreement”) appliesto any natural person or legal entity(“Partner”) that registers on the Ziewie platform (“Platform”). By registering and using the Platform, you agree to this Agreement.

 

1 Role of Ziewie

Ziewie B.V. is an independent digital platform that connects customers and partners. Ziewie:

  • is not an employer;
  • is not a contractor or principal;
  • is not a party to agreements between Customer and Partner;
  • bears no responsibility for the execution, quality or outcome of services.

All agreements are concluded exclusively between the Customer and the Partner.

 

2. Conditions for participation as a Partner

To become a Partner on the Platform, you must:

  • be at least 18 years of age;
  • have a valid registration with the Chamber of Commerce;
  • act in the exercise of a profession or business;
  • provide correct, complete and up-to-date information;
  • agree to verification and compliance checks.

Ziewie reserves the right to refuse or terminate registration without stating reasons.

 

3. Verification and compliance

Ziewie may require Partners to provide documents, including:

  • proof of identity (ID card or passport);
  • Chamber of Commerce extract;
  • address verification (for example an official statement or document);
  • bank details and proof of account ownership;
  • PEP declaration;
  • certificates, permits or qualifications.

These data are used for verification, fraud prevention, legal obligations and platform security.

 

4. Use of the Platform

The Partner:

  • offers services in its own name and under its own responsibility;
  • independently determines prices, conditions and execution;
  • is responsible for compliance with all applicable laws and regulations;
  • communicates professionally and correctly with customers;
  • will not place misleading, incorrect or unlawful information.

Ziewie may adjust, restrict or remove content, profiles or visibility if deemed necessary.

 

5. Payments and fees

5.1 Current situation

Ziewie currentlydoes not facilitate online payments betweenCustomer and Partner.Payment takes place directly between Customer and Partner.

 

5.2 Ziewie fees

Ziewie is entitled to a service fee or commission for the use of the Platform. This may consist of:

  • a fixed amount per assignment;
  • a percentage of the assignment value;
  • subscription fees;
  • combinations thereof.

The Partner is obliged to pay these fees in a timely manner.

 

5.3 Non-payment

If a Partner fails to pay on time, Ziewie has the right to:

  • restrict or block access to the Platform;
  • disable profile visibility;
  • terminate the account;
  • transfer outstanding claims to a collection agency or bailiff;
  • charge statutory interest and (extra-)judicial collection costs.

 

6. Liability

Ziewie is not liable for:

  • damage arising from agreements between Customer and Partner;
  • breach of contract, cancellation or disputes;
  • payments or refunds;
  • indirect damage, consequential damage or loss of profit. The Partner indemnifies Ziewieagainst all third-party claims.

 

7. Complaints and disputes

All complaints and disputes betweenCustomer and Partnermust be resolveddirectly between them.

Ziewie is not a mediator and provides no guarantees or compensation. Ziewie may act as a supervisor and take measuresto protect the Platform.

 

8. Termination

Ziewie may terminate or suspend this Agreement at any time in the event of:

  • violation of conditions;
  • fraud or misuse;
  • non-payment;
  • reputational or security risks.

The Partner may terminate the account, provided all outstanding obligations have been fulfilled.

 

9. Intellectual property

All intellectual propertyrights relating to the Platformbelong to Ziewie.The Partner only acquires a limited, non-transferable right of use.

 

10. Amendments

Ziewie may amendthis Agreement. The amended versionwill be published on the Platformand takes effect immediately.

 

11. Applicable law

This Agreement is governed by Dutch law. Disputes shallbe submitted to the competent court in the Netherlands.
